Terms of Service

These Terms of Service ("Terms") govern your access to and use of omnicial.phira.tech and the Omnicial multi-platform advertising analytics service operated by Phira ("we", "us", "our") (the "Service").
By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Service.
1. Eligibility
You must be at least 18 years old and have the legal authority to enter into a binding agreement on behalf of yourself or the organisation you represent. By using the Service, you represent that you meet these requirements.
2. Description of Service
Omnicial is a multi-platform advertising analytics dashboard that connects to advertising platforms (including Google Ads, Meta Ads, TikTok Ads, and others) via their official APIs to display unified campaign performance data, KPIs, and AI-powered insights to authorised account holders.
3. Account Registration
You must create an account to use the Service. You agree to provide accurate, complete, and current information and to maintain the confidentiality of your credentials. You are responsible for all activity under your account. Notify us at hello@phira.tech immediately if you suspect unauthorised access.
4. Platform Connections and API Use
The Service allows you to connect your advertising platform accounts via OAuth. By connecting an account, you authorise Omnicial to access that account's performance data on your behalf in accordance with each platform's developer policies.
Your use of connected platforms is also governed by:
- Google Ads API Terms of Service
- Meta Platform Terms
- TikTok for Business Terms of Service
- Each other connected platform's applicable developer and user policies
You may disconnect any platform account at any time from your account settings. We do not guarantee the continuous availability of data from third-party platforms, as API availability is outside our control.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of applicable laws
- Attempt to gain unauthorised access to any part of the Service or related systems
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Use the Service to access advertising accounts you are not authorised to access
- Transmit malware or other harmful code
- Scrape or harvest data from the Service beyond normal use
- Resell or sublicense access to the Service without written consent
6. Intellectual Property
The Service, including its software, design, and content, is the exclusive property of Phira and is protected by applicable intellectual property laws. You may not copy, reproduce, or distribute any part of the Service without prior written consent.
You retain ownership of your advertising data. By using the Service, you grant us a limited, non-exclusive licence to access and process your advertising data solely to provide and improve the Service.
7. Payment and Billing
Where the Service is offered on a paid basis, applicable pricing and payment terms will be presented at the point of purchase. Fees are non-refundable unless expressly stated otherwise or required by law. We reserve the right to modify pricing with reasonable advance notice.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, PHIRA DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Advertising performance data is retrieved from third-party platforms and displayed for informational purposes. We do not guarantee its accuracy, completeness, or timeliness. We are not responsible for decisions made based on data displayed in the Service.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHIRA AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SERVICE, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.
OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD 100.
10. Indemnification
You agree to indemnify and hold harmless Phira and its affiliates from any claims, damages, or expenses (including legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any third-party rights.
11. Termination
We may suspend or terminate your access to the Service at our discretion, with or without notice, for breach of these Terms or any other reason. Upon termination, your right to use the Service ceases immediately. Sections that by nature survive termination (including intellectual property, disclaimers, and limitation of liability) shall remain in effect.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of Kenya. Disputes shall first be subject to good-faith negotiation. If unresolved, they shall be submitted to the exclusive jurisdiction of the courts of Nairobi, Kenya.
13. Changes to These Terms
We may update these Terms from time to time. We will update the "Last updated" date and notify registered users of material changes. Continued use of the Service after changes take effect constitutes acceptance.
